Terms of Service — Usherfly

1. Parties and Scope
These Terms of Service ("Terms") govern the relationship between Usherfly ("Usherfly", "we", "our") and individuals or organizations using the Usherfly platform ("you", "user", "Organization Admin", "Onboardee").
Usherfly is a horizontal online onboarding platform that lets any organization build and run its own onboarding flows — companies, schools, agencies, communities, customer success teams, and more.
By accessing or using the platform you agree to these Terms. If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description
Usherfly provides onboarding flow creation and management, onboardee management, collaboration tools (task assignment, document upload, form submission, e-signature, and notification channels), and a freemium model (your first onboarding flow is free). Usherfly provides its services "as is." We reserve the right to modify or discontinue features with reasonable notice.
3. Account and Registration
To use Usherfly, you must register with a valid email address and provide accurate information. You are responsible for maintaining account security. Usherfly is not directed at individuals under 18. Organization Admins are responsible for ensuring all users under their account comply with these Terms.
4. Acceptable Use
You agree not to upload or share unlawful or harmful content; compromise platform security; impersonate another user or organization; send spam or scrape data; or process personal data in violation of applicable data protection law. We reserve the right to suspend or permanently close accounts that violate these Terms.
5. Pricing and Subscriptions
Your first onboarding flow is free. Payments are processed through Paddle Billing (Merchant of Record). Subscriptions renew on a recurring basis; once paid plans are live, you can cancel at any time from Account Settings. See the Refund and Cancellation Policy for full terms.
5.5 Pre-Contract Information and Right of Withdrawal
Before you move to a paid plan, the plan price, billing period and renewal terms are clearly shown on the pricing page and in your account settings. After moving to a paid plan, you have a 14-day right of withdrawal. The exercise of this right and any refund are handled at checkout by Paddle Billing, acting as Merchant of Record. 6. Intellectual Property
The platform software, design, branding, and content are owned by Usherfly. Content you upload to the platform remains yours; you grant Usherfly a limited, revocable, royalty-free license to process it for the purpose of providing the service.
7. Privacy and Data Protection
How we handle your personal data is described in our Privacy Policy. Usherfly meets its obligations under KVKK and, where applicable, CCPA.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Usherfly is not liable for indirect, incidental, special, or consequential damages. Usherfly's total liability is limited to the fees you paid in the month the damage occurred (on the free plan: zero).
9. Term and Termination
These Terms remain in effect for as long as your account is active. You may close your account at any time. Usherfly may close your account without prior notice if you breach these Terms.
10. Governing Law
These Terms are governed by the laws of Estonia. Disputes will first be addressed through written notice; if unresolved, the courts of Estonia (Tallinn) will have jurisdiction. This choice of law does not override any mandatory consumer-protection rules that apply in your local jurisdiction.
11. General Provisions
We may update these Terms. For material changes we will notify you by email at least 30 days in advance. Continued use after a change constitutes acceptance.
